These Terms of Use ("Terms") govern your use of our website, including but not limited to https://www.elitecompse.com (the "Website"), any ELITE COMPUTER SERVICES LLC mobile applications (including any mobile application extensions). ELITE COMPUTER SERVICES LLC, its affiliates, or subsidiaries (collectively, "ELITE Team", "we", or "us") provide the Website and Services. "You" refers to you as a user of the Website or Services.

We may change or modify these Terms from time to time and will post the updated Terms with a "Last Updated" effective date. Any changes or modifications will be effective immediately upon posting, and to the extent permitted by law, you waive any right to receive specific notice of such changes or modifications. Your continued access to, use of the Website, and/or use of or participation in the Services after any changes or modifications to these Terms constitutes your acceptance of any updated Terms. User Content

The Website and certain Services allow you to upload, store, send, or receive content and data ("User Content"). User Content does not include Submissions (as defined below). You retain any intellectual property rights you hold in that User Content. When you upload, submit, store, send, or receive User Content through the Website or Services, including but not limited to the use of ELITE Team branded hashtags, you grant us a license to use and reproduce your User Content as follows: You grant us and our partners a license to use, host, store, reproduce, modify, create derivative works (e.g., translations, adaptations, or other modifications to make User Content work better with the Website and Services), publicly perform, publicly display, and distribute your User Content. This license is for the limited purpose of operating, promoting, and improving the Website and Services, and developing new services. Our license to your User Content is non-exclusive, meaning you may use User Content for your own purposes and may allow others to use your User Content for their purposes. This license is fully paid and royalty-free, meaning we are not required to pay you any additional fees for our use of your User Content. We may exercise the rights under this license anywhere in the world and through any medium.

Ownership

Except for User Content, we own or have acquired all right, title, and interest in and to: (i) the Website and Services, including all software, text, media, and other content available on the Website and Services ("Our Content"); and (ii) our trademarks, logos, and brand elements. The Website and Services, Our Content, and trademarks are protected by U.S. and international laws. The look and feel of the Website and Services are copyrighted by ELITE COMPUTER SERVICES LLC. All rights reserved.

You are granted a limited, non-sublicensable license to access and use the Website and Services and all content therein solely for personal, informational, and consumer transaction purposes, including the dissemination of content through any third-party features provided through the Services that allow you to post content from the Website and Services to your personal social media accounts. This limited license does not include the resale, commercial use, distribution, public display, or performance of the Website or Services or any content therein, nor does it include modification or derivative use of the Website or Services or any content therein, reverse engineering of any Website or Service for any purpose, or the use of any data mining, web crawling, robots, or similar data collection or extraction methods.

Intellectual Property Policy

We respond to notices of alleged copyright infringement in accordance with the processes set forth in the U.S. Digital Millennium Copyright Act and terminate the accounts of repeat infringers. If you believe that your work has been copied in a way that constitutes copyright infringement, please forward the following information to the copyright agent designated below:

• A description of where the allegedly infringing material is located;
• A statement that you have a good faith belief that the disputed use is not authorized by you, the copyright owner, its agent, or the law;

• A statement by you, made under penalty of perjury, that the above information is accurate and that you are the copyright owner or authorized to act on behalf of the copyright owner.

For clarity, only copyright infringement notices should be sent to our Copyright Agent. You acknowledge that if you fail to comply with all the requirements of this section, your notice may be invalid.

Severability

Except as expressly provided otherwise in this section (e.g., additional procedures for mass submissions), if a court of competent jurisdiction finds that any part or all of the mandatory informal dispute resolution process, arbitration agreement, or class action waiver is invalid or unenforceable with respect to your dispute, that part or all shall be invalid and shall be severed, and the remainder of this section shall continue in full force and effect. The mandatory informal dispute resolution process, arbitration agreement, and class action waiver shall survive the termination of these Terms of Use. No waiver of any provision of this section of this Agreement shall be effective or enforceable unless recorded in writing and signed by the party waiving such right or claim. Such waiver shall not waive or affect any other part of this Agreement. This section of this Agreement shall survive the termination of your relationship with us.
